    1. Acceptance of Terms

    By accessing or using the NarcTrack platform or the narctrack.io website (collectively, the "Services") operated by Veritas Technology Solutions, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Services.

    If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. References to "you" include both the individual user and the organization, as applicable.

    2. Scope of These Terms

    These Terms apply to two groups:

    • Site Visitors: Anyone who accesses the narctrack.io marketing website, reads our content, or submits an inquiry or application form. Site Visitors are subject to these Terms with respect to their use of the public website.
    • Platform Subscribers: Agencies and organizations that have executed a written NarcTrack Platform Agreement with Veritas Technology Solutions ("Platform Agreement"). Platform Subscribers are subject to both these Terms and their Platform Agreement. In the event of a conflict between these Terms and the Platform Agreement, the Platform Agreement controls.

    These Terms do not form the complete agreement between Veritas and Platform Subscribers. The Platform Agreement, including any exhibits (Order Form, Business Associate Agreement, etc.), constitutes the binding commercial agreement. Acceptance of these Terms does not itself create a subscription or commit Veritas to provide platform access; that requires an executed Platform Agreement.

    3. Description of Service

    NarcTrack is a cloud-based controlled substance tracking, inventory management, and diversion-detection platform designed for EMS agencies, fire departments, and other emergency medical services providers. The platform facilitates the logging, auditing, and chain-of-custody tracking of medication inventory, including Schedule II–V controlled substances, and provides anomaly detection to support agency diversion-prevention programs.

    We reserve the right to modify, update, or discontinue features of the Services at any time, subject to the notice provisions in Section 14 for material changes affecting Platform Subscribers.

    4. User Responsibilities

    All users of the Services are responsible for:

    • Maintaining the confidentiality of login credentials and immediately notifying us of any unauthorized access at security@narctrack.io.
    • Ensuring that only authorized personnel access the platform under your agency's account.
    • Entering accurate and complete data, particularly with respect to controlled substance transaction logs. The Services provide tools for documentation but do not replace your legal obligation to maintain accurate records under DEA regulations and applicable state law.
    • Complying with all applicable laws and regulations, including DEA regulations (21 CFR Part 1300 et seq.), state pharmacy board rules, state EMS licensing requirements, HIPAA, and your agency's internal protocols.
    • For agencies deploying NarcTrack to field personnel: providing appropriate workplace notice that the platform collects geolocation, device, and behavioral data during use, and obtaining any required employee consents prior to deployment.

    5. License and Access

    Subject to your compliance with these Terms and, for Platform Subscribers, the Platform Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations. You agree not to:

    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Services.
    • Resell, sublicense, or provide access to the Services to any third party not covered by your Platform Agreement.
    • Use the Services to violate any applicable law, regulation, or regulatory requirement.
    • Upload, transmit, or store any malicious code, unauthorized software, or content that infringes third-party intellectual property rights.
    • Attempt to circumvent, disable, or interfere with any security feature or access control of the Services.
    • Use automated tools, scripts, or bots to access or scrape the Services without our express written consent.

    All intellectual property rights in the Services, including software, algorithms, interface design, and documentation, remain the exclusive property of Veritas Technology Solutions. These Terms grant no ownership interest.

    6. Disclaimer of Warranties

    The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any specific results will be obtained from use of the Services.

    Specifically, NarcTrack is a detection and documentation tool. We do not warrant that the platform will detect all instances of medication diversion, prevent all regulatory violations, or satisfy any particular compliance standard. Those responsibilities remain with the subscribing agency.

    7. Limitation of Liability

    To the fullest extent permitted by law, in no event shall Veritas Technology Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the Services; (b) any conduct or content of any third party on or through the Services; or (c) unauthorized access, use, or alteration of your data or transmissions.

    In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of (i) the total fees paid by your agency to Veritas in the twelve (12) months preceding the claim, or (ii) one hundred U.S. dollars ($100).

    The foregoing limitations apply regardless of the theory of liability (contract, tort, statute, or otherwise) and regardless of whether we have been advised of the possibility of such damages.

    8. Role of System; Limitation of Authority

    NarcTrack is a Notification and Documentation Tool Only. We provide software infrastructure to track inventory and identify potential variances or anomalies. We are not a law enforcement agency, regulatory body, or decision-making authority.

    If the platform identifies an individual as having a potential variance or diversion event:

    • It is the sole responsibility of the subscribing agency to investigate, interview, and adjudicate the matter in accordance with their internal policies and applicable law.
    • We do not determine guilt or innocence.
    • We are not responsible for any employment actions, legal proceedings, disciplinary decisions, or reputational damage resulting from the use of data generated by the platform.
    • Agencies must apply their own judgment, follow applicable due process requirements, and consult legal counsel before taking adverse action against any individual based on platform data.

    We will cooperate fully with any lawful investigation initiated by an authorized agency representative or external authority with proper legal process, including providing detailed access logs, location data, and transaction histories.

    9. Indemnification

    You agree to indemnify, defend, and hold harmless Veritas Technology Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any employment action, disciplinary decision, or legal proceeding your agency initiates or is involved in based on data generated by the platform; or (d) your failure to obtain required employee consents for data collection as described in Section 4.

    Veritas Technology Solutions agrees to indemnify and hold harmless Platform Subscribers from claims by third parties alleging that the NarcTrack platform, as provided by Veritas, infringes a third-party intellectual property right, provided that the subscriber promptly notifies us of the claim, cooperates in the defense, and grants us control of the defense and settlement.

    10. Pilot Program Terms

    If you are participating in the NarcTrack Pilot Program under an executed Platform Agreement, the following pricing terms apply for the duration of the pilot year and supersede the standard pricing structure. In any conflict between these Pilot Program Terms and the remainder of these Terms, these Pilot Program Terms control for the duration of the pilot term.

    • Platform Fee: The pilot platform fee is $1,500 per year, billed as a single lump-sum payment at account activation, covering twelve (12) months of platform access from the activation date.
    • Implementation & Training Fees: A one-time implementation fee applies and is quoted separately prior to account activation. Training fees, if applicable, are also quoted separately. All such fees are confirmed in the written Order Form before any charges are incurred.
    • "Box" Defined: For purposes of this Section, a "Box" means a discrete narcotic kit, medication storage container, or vehicle-level medication deployment unit registered as active in the NarcTrack platform as of the first calendar day of a given billing month. Units deactivated prior to the first day of a billing month are not counted for that month.
    • Box Fees — Free Period (Months 1–3): For the first three (3) calendar months following account activation, no per-Box fees are charged regardless of the number of Boxes in active use.
    • Box Fees — Pilot Rate (Months 4–12): Beginning in month four (4) and continuing through the end of the pilot year, Box fees are charged at $15.00 per Box per month, subject to a minimum of five (5) Boxes per month. Agencies with fewer than five (5) active Boxes are billed at the five-Box minimum of $75.00 per month.
    • Post-Pilot Pricing (Month 13 Onward): Following the pilot year, standard pricing applies. The then-current annual platform fee is billed at renewal, and Box fees revert to the then-current standard rate of $20.00 per Box per month, subject to the same five-Box minimum of $100.00 per month. Your account will not automatically renew. A Veritas representative will contact you prior to expiration to discuss renewal options. Pilot pricing does not constitute a guarantee of any specific renewal rate.
    • Cancellation: You may cancel your pilot participation at any time by providing written notice to hello@narctrack.io. The annual platform fee is non-refundable after account activation. Box fees already billed and collected are non-refundable. No Box fees are charged for any calendar month in which your account is cancelled prior to the first day of that billing cycle.
    • Data Portability: Upon cancellation or expiration of the pilot year, you may request a full export of your agency's data in standard CSV format. Data remains available for export for thirty (30) days following account termination or expiration, after which it will be permanently deleted from our systems in accordance with our data retention policy.

    11. Termination

    Termination by subscriber: Platform Subscribers may terminate their subscription at any time as described in Section 10 (Pilot Program Terms) or the Platform Agreement, subject to applicable notice and refund provisions.

    Termination for material breach: Either party may terminate a subscription for material breach if the breaching party fails to cure the breach within ten (10) days of written notice identifying the breach in reasonable detail.

    Termination for convenience by Veritas: We may terminate a subscription for convenience upon thirty (30) days' written notice. In this event, we will provide a pro-rata refund of any prepaid platform fees for the unused portion of the subscription term.

    Immediate suspension: We may immediately suspend access to the Services, without prior notice, if we determine in good faith that continued access poses a security risk, violates applicable law, or involves material misuse of the platform. We will provide written notice of the basis for suspension promptly and will work to restore access as quickly as reasonably practicable if the issue is resolved.

    Site Visitors: We may discontinue or restrict access to the public website at any time without liability.

    Upon termination, your license to access the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 8, 9, and 15) will remain in effect.

    12. Force Majeure

    Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond that party's reasonable control, including natural disasters, acts of government, internet or telecommunications infrastructure failures, power outages, pandemics, or other events of force majeure. The affected party will promptly notify the other party and will use commercially reasonable efforts to resume performance as soon as practicable.

    13. Privacy and Data

    Our collection, use, and disclosure of information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. For Platform Subscribers, data handling obligations are further governed by the Business Associate Agreement executed as part of the Platform Agreement.

    14. Changes to These Terms

    We may update these Terms from time to time. For material changes, we will update the "Last Updated" date and provide Platform Subscribers with at least thirty (30) days' email notice before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance.

    If you object to a material change, you may terminate your subscription without penalty prior to the effective date by providing written notice to legal@narctrack.io. Changes required by law or to address security vulnerabilities may take effect immediately with concurrent notification.

    15. General Provisions

    Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles. For Platform Subscribers, governing law is as specified in the Platform Agreement.

    Dispute Resolution: Any dispute arising from these Terms that cannot be resolved informally will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Atlanta, Georgia. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction without waiving the right to arbitration.

    Entire Agreement: For Site Visitors, these Terms, together with the Privacy Policy, constitute the entire agreement between you and Veritas with respect to your use of the Services and supersede all prior agreements. For Platform Subscribers, the Platform Agreement (including all exhibits) together with these Terms constitute the entire agreement and supersede all prior understandings.

    Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

    Waiver: Failure by either party to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

    No Third-Party Beneficiaries: These Terms are for the benefit of the parties only and do not create any rights in third parties.
